Terms of Service

These Terms of Service ("Terms") govern your use of the OpenLakes Harbor platform ("Service") operated by OpenLakes, Inc. ("OpenLakes", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. Definitions

• "Service" means the OpenLakes Harbor managed lakehouse platform, including the web dashboard, API, and all related services accessible at harbor.openlakes.io and its subdomains.
• "User" means any individual who creates an account on the Service.
• "Workspace" means an isolated lakehouse environment provisioned within the Service.
• "Your Data" means any data you upload, ingest, or create within the Service, including connector configurations, query results, and lakehouse tables.

2. Account Registration

To use the Service, you must create an account with a valid email address and verify your identity. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service, other accounts, or infrastructure
• Interfere with or disrupt the Service or the servers and networks connected to the Service
• Use the Service to store or transmit malicious code
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or redistribute the Service without prior written authorization
• Use the Service to process data in violation of data protection laws applicable to that data

4. Your Data

You retain ownership of Your Data. We do not claim any intellectual property rights over the data you upload or create within the Service. We access Your Data only as necessary to provide the Service, maintain infrastructure, and respond to support requests.

You are solely responsible for the legality, accuracy, and appropriateness of Your Data. You represent that you have all necessary rights and permissions to upload and process Your Data through the Service.

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

6. Workspace Tiers and Billing

The Service offers different workspace tiers with varying capabilities and pricing. Free trial workspaces are subject to expiration after 30 days. We will notify you by email before any workspace is scheduled for deletion due to expiration.

Paid workspace billing terms, including pricing and payment schedules, will be communicated separately and form part of these Terms.

7. Data Retention and Deletion

You may delete your workspaces and account at any time through the Service dashboard. Upon deletion:

• Workspace data (lakehouse tables, connector configurations, query history) is permanently deleted within 30 days
• Account data (profile, email, authentication credentials) is permanently deleted within 30 days
• Aggregated, anonymized usage metrics may be retained for analytics purposes

8. Intellectual Property

The Service, including its design, code, documentation, and branding, is the property of OpenLakes or its licensors. Nothing in these Terms grants you rights to use our trademarks, logos, or brand elements.

9. Limitation of Liability

To the maximum extent permitted by law, OpenLakes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless OpenLakes, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with 30 days' notice. You may terminate your account at any time by deleting your account through the dashboard. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles.
